These Terms of Use (“Terms”) govern your access to and use of the MNDZCO, LLC website, digital platforms, content, communications, information, research, educational materials, private consulting services, events, meetups, networking opportunities, programs, and other products or services offered by MNDZCO, LLC.

Throughout these Terms, “MNDZCO,” “Company,” “we,” “us,” and “our” refer to MNDZCO, LLC. “You” and “your” refer to any visitor, applicant, invitee, client, customer, participant, attendee, purchaser, or other person accessing or using our website, content, services, or events.

By accessing our website, submitting an application or request, accepting an invitation, purchasing a product or service, registering for or attending an event, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated into them by reference.

If you do not agree to these Terms, do not access or use our services.

1. ABOUT MNDZCO

MNDZCO is an education and consulting company providing information, independent research, educational resources, private consulting, events, meetups, networking opportunities, digital content, and related services.

Our services are intended to help individuals and organizations develop knowledge, perspective, strategy, ideas, relationships, and execution capabilities. MNDZCO does not guarantee any particular financial, business, professional, personal, investment, or other outcome.

Certain services may be governed by additional agreements, engagement letters, event terms, order forms, statements of work, releases, or other written terms. If a separate written agreement expressly conflicts with these Terms regarding a particular service, the more specific agreement will control with respect to that service.

2. INVITATION-ONLY ACCESS

MNDZCO operates certain services, programs, consulting relationships, events, meetups, communities, and opportunities on an invitation-only basis.

Submitting an inquiry, application, registration, payment request, referral, or request for invitation does not create a right to participate or require MNDZCO to provide access.

To the fullest extent permitted by law, MNDZCO reserves the right to determine eligibility and may approve, decline, limit, suspend, revoke, or terminate an invitation or access to any service, program, event, community, or opportunity at our discretion.

An invitation is personal to the individual or organization receiving it unless MNDZCO expressly authorizes otherwise. Invitations, credentials, links, passwords, tickets, memberships, or other access rights may not be sold, transferred, shared, reproduced, or distributed without our written permission.

Invitation-only status does not create an employment, agency, partnership, joint venture, fiduciary, franchise, membership ownership, or other special legal relationship with MNDZCO.

3. ELIGIBILITY AND MINORS

Our services are generally intended for persons 18 years of age or older.

A person under 18 may participate only when MNDZCO expressly permits the participation and the individual has the authorization and legally appropriate participation of a parent or legal guardian.

A parent or legal guardian authorizing a minor’s participation accepts responsibility for the minor’s participation and compliance with applicable terms to the extent permitted by law.

We may establish higher minimum-age requirements for particular services or events.

4. EDUCATIONAL AND INFORMATIONAL PURPOSE

Information provided through MNDZCO is intended for general educational, informational, research, strategic, and discussion purposes.

Our information may address subjects involving business, entrepreneurship, leadership, economics, management, branding, communication, technology, finance, organizations, culture, personal development, strategy, or other subjects.

Such information should not be treated as individualized professional advice merely because it addresses a subject that may also be addressed by a licensed professional.

You remain responsible for evaluating information and determining whether and how it applies to your circumstances.

5. PRIVATE CONSULTING

MNDZCO may provide private consulting, strategic discussions, research, education, guidance, analysis, introductions, or related services.

The nature, duration, price, scope, deliverables, and limitations of a consulting engagement may be established through a separate proposal, invoice, engagement agreement, statement of work, order form, or other written communication.

Consulting does not create a fiduciary relationship unless MNDZCO expressly agrees to such a relationship in a separate written agreement.

You remain responsible for your own decisions, implementation, due diligence, professional advisors, legal compliance, finances, operations, and results.

6. NO PROFESSIONAL ADVICE

Unless expressly stated in a separate written agreement involving an appropriately licensed professional, MNDZCO does not provide legal, tax, accounting, securities, investment, financial-planning, insurance, medical, mental-health, engineering, architectural, or other regulated professional advice.

Nothing provided by MNDZCO creates an attorney-client, accountant-client, financial-advisor, investment-advisor, doctor-patient, or other licensed professional relationship.

You should consult appropriately qualified professionals regarding matters requiring specialized or regulated advice.

7. RESEARCH AND INFORMATION

MNDZCO may compile, analyze, interpret, summarize, or discuss information from public, proprietary, third-party, historical, statistical, academic, industry, governmental, technological, or other sources.

We endeavor to provide useful and thoughtful information, but information can become outdated, incomplete, disputed, inaccurate, or subject to different interpretations.

MNDZCO does not warrant that every statement, statistic, projection, opinion, source, analysis, or other item of information will always be complete, current, error-free, or appropriate for every purpose.

You are responsible for independently verifying information when accuracy is material to a decision.

8. NO GUARANTEE OF RESULTS

MNDZCO makes no promise or guarantee regarding results.

Individual and organizational outcomes depend on numerous factors outside our control, including knowledge, judgment, effort, execution, capital, market conditions, competition, economic conditions, timing, experience, regulation, technology, relationships, and circumstances.

MNDZCO does not guarantee:

  • Business formation, growth, profitability, or survival
  • Career advancement or employment
  • Contracts, customers, sales, or revenue
  • Financing, investment, or access to capital
  • Income, earnings, profits, savings, or investment returns
  • Introductions, partnerships, relationships, or opportunities
  • Personal or professional success
  • Specific business, financial, educational, or strategic outcomes

Past performance, examples, case studies, testimonials, experiences, or discussions of another person’s results do not guarantee that you will achieve the same or similar results.

9. EVENTS, MEETUPS, AND OTHER GATHERINGS

MNDZCO may organize or participate in conferences, meetings, workshops, private gatherings, educational programs, networking events, dinners, meetups, presentations, and other events.

Attendance may require a separate registration, invitation, ticket, release, code of conduct, venue agreement, or event-specific terms.

MNDZCO may change speakers, participants, schedules, programming, venues, dates, formats, capacity, or other event details when reasonably necessary.

We may postpone, relocate, modify, convert to a virtual format, or cancel an event because of circumstances including safety concerns, illness, emergencies, venue issues, governmental action, transportation disruptions, natural disasters, labor disputes, technological failures, security concerns, acts of God, or circumstances beyond our reasonable control.

Attendance at an event does not guarantee access to any particular person, speaker, business, investor, advisor, opportunity, relationship, or future event.

10. EVENT CONDUCT

Participants must behave professionally, lawfully, respectfully, and safely.

MNDZCO may refuse admission or remove a person from an event or service when we reasonably determine that the person poses a safety or security concern, materially disrupts the event, harasses another person, violates applicable rules, engages in unlawful conduct, or otherwise materially interferes with the legitimate operation of the event.

Removal for misconduct does not create a right to a refund except where required by law.

11. EVENT RISKS

Participation in in-person events involves ordinary risks associated with travel, public gatherings, venues, food and beverages, transportation, personal property, physical movement, interaction with other individuals, and other circumstances.

To the extent permitted by applicable law, you voluntarily assume the ordinary and inherent risks associated with your voluntary participation.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. PHOTOGRAPHY, AUDIO, AND VIDEO AT EVENTS

MNDZCO may photograph, film, livestream, or otherwise record certain events.

Where permitted by applicable law and subject to any event-specific notice or release, your attendance in areas where recording is disclosed may result in your appearance in photographs, audio, or video used for legitimate documentation, archival, educational, promotional, or communications purposes.

Where separate consent is legally required, MNDZCO will seek such consent.

Participants may not record private sessions, confidential discussions, presentations, other attendees, or proprietary MNDZCO materials where recording is prohibited.

13. NETWORKING AND INTRODUCTIONS

MNDZCO may facilitate introductions or interactions among clients, attendees, entrepreneurs, businesses, professionals, speakers, advisors, vendors, investors, organizations, or other third parties.

An introduction does not constitute MNDZCO’s endorsement, recommendation, certification, guarantee, partnership, agency, fiduciary relationship, or representation regarding any third party.

MNDZCO does not guarantee the character, qualifications, financial condition, reliability, accuracy, legality, products, services, representations, intentions, or performance of a person or organization you meet through MNDZCO.

You are responsible for conducting your own due diligence before entering into any transaction, investment, partnership, employment relationship, contract, or other arrangement with another party.

14. PRICES AND PAYMENT

Prices for MNDZCO products, services, consulting engagements, programs, memberships, events, or other offerings may vary.

Unless otherwise stated, payment is due according to the terms presented at checkout, on an invoice, order form, proposal, engagement agreement, or other applicable purchasing document.

MNDZCO may use third-party payment processors. Payment information submitted to those processors is also subject to their applicable terms and privacy practices.

You represent that you are authorized to use any payment method you provide and authorize MNDZCO and its payment providers to charge amounts properly due under your purchase or agreement.

You are responsible for applicable taxes, fees, and other charges where required.

15. DEPOSITS, RETAINERS, AND INSTALLMENT PAYMENTS

Certain services may require a deposit, retainer, advance payment, or installment plan.

The applicable payment schedule will be disclosed in connection with the offering.

Unless otherwise expressly stated in writing or required by law, deposits, retainers, advance payments, and installments already paid are final and nonrefundable.

Failure to make a scheduled payment may result in suspension or termination of services, cancellation of access, acceleration of amounts where authorized by the applicable agreement and law, or other lawful collection measures.

16. RECURRING PAYMENTS AND SUBSCRIPTIONS

If MNDZCO offers a recurring subscription, membership, or automatically renewing service, the recurring nature of the arrangement, frequency of charges, price, and material cancellation terms will be disclosed in connection with enrollment.

By affirmatively enrolling in a recurring service, you authorize the applicable recurring charges according to the terms presented to you.

You may cancel future recurring charges through the cancellation method provided for the applicable service, subject to any lawful notice or timing requirements disclosed when you enroll.

Cancellation stops future renewals or charges as specified in the applicable offering. Unless otherwise stated or required by law, cancellation does not create a right to a refund for amounts already properly charged.

MNDZCO will comply with applicable laws governing automatic renewals, recurring billing, cancellation, and authorization.

17. ALL SALES FINAL — NO REFUNDS

Except where expressly stated otherwise in writing by MNDZCO or where applicable law requires otherwise, ALL SALES ARE FINAL AND NONREFUNDABLE.

This policy applies, as applicable, to consulting services, deposits, retainers, digital products, educational materials, programs, memberships, event registrations, tickets, reservations, subscriptions already billed, and other purchases.

You are responsible for reviewing the description, price, schedule, eligibility requirements, and other material terms before purchasing.

The fact that you later decide not to use, access, attend, complete, or participate in a purchased offering does not create a right to a refund.

Nothing in this provision limits a refund or remedy that cannot lawfully be waived.

18. CHARGEBACKS AND PAYMENT DISPUTES

If you believe a billing error occurred, contact MNDZCO promptly so that we have an opportunity to investigate.

Nothing in these Terms prevents you from exercising a legitimate right to dispute an unauthorized or legally disputable transaction with your financial institution.

However, knowingly initiating a fraudulent, materially false, or abusive payment dispute concerning a properly authorized charge may constitute a violation of these Terms.

MNDZCO may provide relevant transaction records, agreements, authorization records, communications, attendance records, access records, or other appropriate documentation to payment processors and financial institutions when responding to a payment dispute.

19. INTELLECTUAL PROPERTY

Unless otherwise stated, MNDZCO and/or its licensors own or control the intellectual property rights in MNDZCO’s website, research, written materials, PDFs, publications, presentations, frameworks, curricula, graphics, designs, photographs, videos, audio, recordings, event materials, databases, digital resources, trademarks, trade dress, logos, names, concepts expressed in protectable form, and other proprietary content.

Your purchase or authorized access provides only the limited right to personally use the material for the purpose for which access was granted.

It does not transfer ownership of MNDZCO intellectual property.

20. PROHIBITED USE OF MNDZCO CONTENT

Except with prior written authorization or as otherwise permitted by applicable law, you may not:

  • Copy, reproduce, republish, or redistribute protected MNDZCO content
  • Create unauthorized derivative commercial materials from protected MNDZCO content
  • Remove copyright, trademark, attribution, confidentiality, or proprietary notices
  • Resell, sublicense, rent, commercially distribute, or commercially exploit MNDZCO materials
  • Share paid or restricted materials with unauthorized persons
  • Systematically scrape, harvest, crawl, download, extract, or compile MNDZCO content
  • Use MNDZCO proprietary content or restricted materials to train, fine-tune, benchmark, populate, or develop artificial-intelligence or machine-learning systems without written authorization
  • Upload protected MNDZCO materials to public repositories, file-sharing systems, AI systems, databases, courses, membership platforms, or other distribution systems without authorization
  • Record restricted consulting sessions, private meetings, presentations, or events where recording is prohibited

These restrictions do not prohibit uses protected by applicable law, including legally recognized exceptions to intellectual-property rights.

21. MNDZCO NAME AND BRAND

MNDZCO names, logos, branding, marks, and related identifiers may not be used in a manner that falsely suggests sponsorship, endorsement, affiliation, partnership, authorization, or approval.

Participation in a MNDZCO service or event does not authorize you to represent yourself as an employee, partner, agent, representative, affiliate, spokesperson, or authorized advisor of MNDZCO.

22. USER MATERIALS AND SUBMISSIONS

You may provide information, documents, ideas, plans, feedback, photographs, testimonials, files, or other materials to MNDZCO.

You retain ownership of intellectual property that you lawfully own unless a separate written agreement provides otherwise.

By providing materials necessary for MNDZCO to perform requested services, you grant MNDZCO a limited right to access, reproduce, process, store, transmit, and otherwise use those materials as reasonably necessary to provide the requested services, administer our relationship, comply with law, and protect legitimate legal interests.

Feedback voluntarily provided about MNDZCO’s own services may be used to improve our services, provided such use does not override a separate confidentiality obligation.

23. CONFIDENTIAL INFORMATION

Private consulting may involve confidential or proprietary information.

MNDZCO will handle information according to applicable agreements, our Privacy Policy, applicable law, and reasonable business practices.

Website Terms alone are not a substitute for a nondisclosure agreement where heightened contractual confidentiality protection is required.

You likewise agree not to improperly disclose confidential MNDZCO information or confidential information belonging to another participant that you receive under circumstances reasonably indicating that the information is confidential.

24. ACCOUNTS, CREDENTIALS, AND SECURITY

If an account or private-access credential is provided, you are responsible for maintaining its confidentiality and for activity occurring through your account to the extent reasonably within your control.

You may not share credentials with unauthorized persons.

Notify MNDZCO promptly if you reasonably believe an account or credential has been compromised.

We may require password changes, additional verification, or suspension of access when reasonably necessary to protect security.

25. ACCEPTABLE USE

You may not use MNDZCO services to engage in unlawful, fraudulent, abusive, threatening, harassing, defamatory, deceptive, infringing, malicious, or materially disruptive conduct.

You may not attempt to circumvent security measures, gain unauthorized access, interfere with systems, impersonate another person, introduce malicious software, harvest information unlawfully, or use our services in violation of applicable law.

26. THIRD-PARTY WEBSITES, SERVICES, AND PROVIDERS

MNDZCO may use or link to third-party websites, software, payment processors, communication platforms, event venues, videoconferencing platforms, analytics providers, social networks, vendors, or other services.

Those third parties operate independently and may maintain their own terms and privacy policies.

MNDZCO is not responsible for the independent acts, omissions, content, security, availability, policies, representations, or practices of third parties except to the extent responsibility cannot lawfully be excluded.

A link, integration, introduction, or reference does not necessarily constitute endorsement.

27. TESTIMONIALS AND EXAMPLES

Testimonials, endorsements, case studies, examples, hypothetical scenarios, and client experiences may illustrate individual experiences or concepts.

They are not promises that every person will achieve the same result.

Individual results vary.

Where compensation, incentives, or other material relationships require disclosure under applicable law, MNDZCO intends to make appropriate disclosures.

28. FORWARD-LOOKING INFORMATION

MNDZCO may discuss future possibilities, projections, forecasts, opportunities, strategies, technologies, markets, trends, or anticipated outcomes.

Such statements inherently involve uncertainty.

Actual events and results may differ materially because of economic, technological, competitive, regulatory, political, operational, personal, financial, or other factors.

Do not interpret forward-looking discussions as guarantees.

29. PRIVACY

Our collection and handling of personal information are governed by our Privacy Policy and applicable law.

By using our services, you acknowledge that information may be processed as described in the Privacy Policy.

Where consent is legally required for a particular processing activity, we will seek the applicable consent.

30. ELECTRONIC COMMUNICATIONS

When you communicate with MNDZCO electronically, you consent to receive transactional and administrative communications electronically to the extent permitted by law.

Marketing email and text-message communications are subject to applicable consent and opt-out requirements.

You may unsubscribe from marketing communications using the method provided in the applicable communication. Transactional or legally required communications may continue when appropriate.

31. SERVICE AVAILABILITY

MNDZCO does not guarantee uninterrupted access to its website, digital services, events, communications, or other resources.

Services may be temporarily unavailable because of maintenance, security issues, third-party failures, internet outages, technical problems, emergencies, upgrades, or circumstances outside our reasonable control.

We may modify, replace, discontinue, or update services and content subject to applicable contractual and legal obligations.

32. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MNDZCO’S WEBSITE, CONTENT, INFORMATION, AND GENERAL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, EXCEPT TO THE EXTENT A SEPARATE WRITTEN AGREEMENT EXPRESSLY PROVIDES OTHERWISE.

TO THE FULLEST EXTENT PERMITTED BY LAW, MNDZCO DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

MNDZCO DOES NOT WARRANT THAT SERVICES WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, CURRENT, OR SUITABLE FOR EVERY USER OR PURPOSE.

Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded.

33. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MNDZCO, LLC AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, CONSULTANTS, AGENTS, REPRESENTATIVES, AFFILIATES, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, OR SIMILAR LOSSES ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE MNDZCO’S WEBSITE, CONTENT, SERVICES, OR EVENTS, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, MNDZCO’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PAID PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO MNDZCO FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

For claims arising solely from use of free website content, any limitation will apply only to the extent permitted by applicable law.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

34. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MNDZCO, LLC and its owners, members, managers, officers, employees, contractors, consultants, agents, representatives, affiliates, successors, and assigns from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from or relating to:

  • Your material breach of these Terms
  • Your unlawful or unauthorized use of MNDZCO services
  • Materials you submit that infringe another person’s rights
  • Your fraud, willful misconduct, or unlawful conduct
  • Your material violation of another person’s rights

This indemnification provision does not require you to indemnify a protected party for liability to the extent caused by that protected party’s own conduct where such indemnification is prohibited by applicable law.

MNDZCO reserves the right to control the defense of a matter subject to indemnification where legally permissible, and you agree to provide reasonable cooperation.

35. RELEASE REGARDING THIRD-PARTY DEALINGS

To the fullest extent permitted by applicable law, MNDZCO is not responsible for disputes arising solely between you and an independent third party you meet, contact, retain, hire, invest with, contract with, purchase from, sell to, or otherwise interact with through a MNDZCO event, introduction, community, or networking opportunity.

You are responsible for independently evaluating such relationships.

This provision does not release MNDZCO from liability that cannot lawfully be waived.

36. TERMINATION OR SUSPENSION

MNDZCO may suspend, restrict, or terminate access when reasonably necessary because of a material breach of these Terms, nonpayment, fraud, unlawful activity, security concerns, harassment, misuse of intellectual property, unauthorized credential sharing, material disruption, or other legitimate grounds.

Termination does not eliminate payment obligations or provisions that by their nature should survive termination, including intellectual-property protections, confidentiality obligations, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.

37. FORCE MAJEURE

To the extent permitted by law and applicable contractual obligations, MNDZCO will not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, fires, floods, earthquakes, epidemics, pandemics, governmental actions, war, civil disturbances, terrorism, labor disruptions, transportation interruptions, utility failures, internet outages, cyber incidents affecting third-party infrastructure, venue closures, or similar extraordinary events.

MNDZCO will make commercially reasonable efforts appropriate to the circumstances.

38. INFORMAL DISPUTE RESOLUTION

Before commencing arbitration or litigation, you and MNDZCO agree, to the extent permitted by law, to attempt in good faith to resolve the dispute informally.

A party initiating a dispute should provide written notice describing the nature of the dispute, relevant facts, requested relief, and sufficient information to permit meaningful evaluation.

The parties will have 30 days after receipt of a sufficiently detailed notice to attempt informal resolution before initiating arbitration, unless applicable law requires otherwise or a claim requires immediate injunctive relief.

39. BINDING INDIVIDUAL ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS.

Except for disputes that qualify for small claims court, requests for appropriate temporary or preliminary injunctive relief, claims concerning infringement or misappropriation of intellectual property where judicial relief is legally appropriate, and claims that applicable law does not permit to be arbitrated, you and MNDZCO agree that disputes arising out of or relating to these Terms or covered MNDZCO services will be resolved through binding arbitration on an individual basis.

The arbitration will be administered by a nationally recognized arbitration provider under consumer or commercial rules appropriate to the nature of the transaction and applicable law. The specific provider, procedures, allocation of fees, location, and method of arbitration must comply with applicable law and may be identified in the applicable transaction or engagement agreement.

The arbitrator may award any individual remedy or relief available under applicable law that a court could award in the circumstances.

Nothing in this provision is intended to prevent a person from exercising a non-waivable statutory right or seeking relief from a governmental agency.

40. CLASS-ACTION AND REPRESENTATIVE-ACTION WAIVER

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND MNDZCO AGREE THAT COVERED DISPUTES SUBJECT TO ARBITRATION WILL BE RESOLVED INDIVIDUALLY AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

If applicable law determines that a particular claim or request for relief cannot lawfully be subjected to this waiver, that claim or relief will be handled as required by applicable law without invalidating the remainder of this provision to the extent legally permissible.

41. JURY-TRIAL WAIVER

TO THE EXTENT A DISPUTE IS VALIDLY SUBJECT TO ARBITRATION, THE PARTIES UNDERSTAND THAT ARBITRATION REPLACES THE RIGHT TO HAVE THAT DISPUTE DECIDED BY A JUDGE OR JURY IN COURT.

For disputes properly proceeding in court, any jury-trial waiver applies only to the extent permitted by applicable law.

42. SMALL CLAIMS

Either party may bring an individual claim in a court of competent small-claims jurisdiction when the claim qualifies and remains on an individual basis.

43. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles, except to the extent federal law governs a particular issue.

Nothing in these Terms deprives a consumer of protections that cannot lawfully be waived under applicable law.

44. COURT VENUE

For disputes not subject to arbitration and not properly brought in small claims court, the parties consent, to the extent legally permissible, to the jurisdiction of appropriate state or federal courts serving Los Angeles County, California.

45. CHANGES TO THESE TERMS

MNDZCO may update these Terms from time to time to reflect changes in services, technology, operations, business practices, or law.

The “Last Updated” date will identify the latest version.

Where applicable law or an existing contractual relationship requires additional notice or consent for a material change, MNDZCO will provide such notice or obtain such consent.

Changes will not retroactively eliminate accrued legal rights where prohibited by law.

46. SEVERABILITY

If a provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed as appropriate, and the remaining provisions will continue in effect unless applicable law requires otherwise.

47. NO WAIVER

Failure by MNDZCO to enforce a provision on one occasion does not constitute a permanent waiver of that provision or any other right.

48. ASSIGNMENT

You may not assign or transfer contractual rights or obligations arising under these Terms without MNDZCO’s prior written consent where consent may lawfully be required.

MNDZCO may assign its rights and obligations in connection with a merger, acquisition, reorganization, financing, sale of assets, transfer of business operations, or similar legitimate business transaction, subject to applicable law and any specific contractual restrictions.

49. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, applicable Disclaimers, and any additional terms, order forms, event agreements, consulting agreements, releases, or other agreements expressly incorporated into a particular transaction, constitute the applicable agreement concerning the matters they address.

A specific written agreement may supplement or supersede these Terms for the service governed by that agreement.

50. ELECTRONIC ACCEPTANCE

Where MNDZCO presents these Terms through a checkbox, electronic signature, registration process, checkout process, invitation acceptance, or other affirmative acceptance mechanism, your electronic acceptance has the same effect as acceptance in writing to the extent permitted by applicable law.

You should retain a copy of the Terms applicable to your transaction.
